Terms Of Purchase

Introduction

These Terms of Purchase (“Terms”) govern the purchase of software licenses, subscriptions, and professional services (“Software and Services”) provided by Blue Byte Systems Inc. (“Blue Byte Systems,” “we,” “us,” or “our”).

By purchasing or using our Software and Services, you (“Customer”) agree to be bound by these Terms. If you do not agree, do not purchase or use our Software and Services.

Software Licenses

All software is licensed, not sold.

Your purchase grants you a non-exclusive, non-transferable, limited license to use the software in accordance with:

• The purchased license type

• The license term

• The applicable End User License Agreement (EULA)

License keys may include technical enforcement mechanisms such as activation, hardware locking, or subscription expiration.

Subscriptions

Subscription licenses are valid for the purchased term.

Upon expiration:

• Software functionality may be limited or disabled

• Continued use requires renewal

Subscription fees are non-refundable once the license key has been issued.

Professional Services

Professional services may include:

• Technical support

• Training

• Consulting

• Implementation assistance

• Custom development

Services are provided remotely unless otherwise agreed.

Service hours:

• Must be scheduled in advance

• Are billed hourly or in pre-paid blocks

• Must be used within the agreed service period

Unused service hours are non-refundable unless otherwise agreed in writing.

Delivery

Software licenses are delivered electronically, typically via:

• License key

• Download link

• Customer portal

Delivery is considered complete once the license key or download access has been issued.

Payment Terms

Payment is due in full prior to:

• License key issuance

• Subscription activation

• Delivery of services

Unless otherwise agreed in writing.

All fees are non-refundable.

No Refunds

All sales are final.

Blue Byte Systems Inc. does not provide refunds for:

• Software licenses

• Subscription licenses

• Support services

• Training services

Except where required by applicable law.

Warranty Disclaimer

Software and Services are provided “AS IS” without warranty of any kind.

Blue Byte Systems Inc. disclaims all implied warranties, including:

• Merchantability

• Fitness for a particular purpose

• Non-infringement

We do not guarantee uninterrupted or error-free operation.

Limitation of Liability

To the maximum extent permitted by law, Blue Byte Systems Inc. shall not be liable for:

• Loss of profits

• Loss of data

• Business interruption

• Indirect, incidental, or consequential damages

Total liability shall not exceed the amount paid for the Software or Services.

License Compliance

Customer agrees not to:

• Share license keys

• Circumvent license enforcement

• Reverse engineer the software (except where legally permitted)

Violation may result in license termination.

Governing Law

These Terms are governed by the laws of:

British Columbia, Canada

Jurisdiction: Vancouver, British Columbia.

Entire Agreement

These Terms, together with the applicable EULA, constitute the complete agreement.

Acceptance

By purchasing or using Blue Byte Systems Software and Services, you acknowledge that you have read and agree to these Terms.
