Terms of Purchase for Consulting Services

Introduction

These Terms of Purchase (“Terms”) govern the purchase and provision of consulting services (“Services”) provided by Blue Byte Systems Inc. (“we,” “us,” or “our”). By purchasing our Services, you (“Customer”) agree to be bound by these Terms. If you do not agree to these Terms, you should not proceed with the purchase or use of our Services.

Provision of Services

Blue Byte Systems Inc. agrees to provide the Services as outlined in the agreed-upon statement of work or service agreement. The Services will be provided with reasonable skill and care, consistent with industry standards.

Payment and Fees

  • Payment Obligation: The Customer agrees to pay Blue Byte Systems Inc. for the Services rendered in accordance with the rates and payment terms specified in the statement of work or service agreement.
  • Entitlement to Payment: If the Customer decides to terminate the Services for any reason, Blue Byte Systems Inc. is entitled to payment for all Services rendered up to the date of termination. The Customer is responsible for all costs, fees, and expenses incurred by Blue Byte Systems Inc. in connection with the provision of the Services up to the termination date.

Limitation of Liability

  • No Liability: To the fullest extent permitted by law, Blue Byte Systems Inc. shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from or related to the provision or use of the Services, including but not limited to any loss of profits, business interruption, loss of data, or other intangible losses, even if we have been advised of the possibility of such damages.
  • Assumption of Risk: The Customer acknowledges and agrees that the use of the Services is at their own risk. Blue Byte Systems Inc. makes no warranties, express or implied, regarding the outcomes or results of the Services provided.

Indemnification

The Customer agrees to indemnify, defend, and hold harmless Blue Byte Systems Inc., its officers, directors, employees, and agents, from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to the Customer’s use of the Services, the Customer’s violation of these Terms, or the Customer’s violation of any rights of another.

Termination of Services

  • Customer-Initiated Termination: If the Customer decides to terminate the Services before completion, Blue Byte Systems Inc. is entitled to payment for all Services rendered up to the date of termination, as well as any associated costs and expenses.
  • No Refunds: Payments made for Services are non-refundable. The Customer remains liable for any outstanding payments for Services rendered prior to termination.

Changes to Terms

Blue Byte Systems Inc. reserves the right to modify these Terms at any time. Any changes to these Terms will be communicated to the Customer. The Customer’s continued use of the Services after such changes constitutes acceptance of the modified Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the province of British Columbia, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in British Columbia.

Entire Agreement

These Terms, together with any applicable statement of work or service agreement, constitute the entire agreement between the Customer and Blue Byte Systems Inc. regarding the Services and supersede any prior agreements or understandings, whether written or oral.

By purchasing our consulting services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
